BLAW 5051 BUSINESS ASSOCIATIONS

This course surveys the fundamental legal issues associated with the principal types of business enterprises. The course introduces students to the law that governs corporations and unincorporated business associations. Among the topics the course may cover are the law of agency; the structure and characteristics of both large publicly and closely held corporations; distribution of powers among management, directors, shareholders; fiduciary duties that limit those powers; enforcement of such duties by shareholder suits; and basic principles of agency, partnership, LLC and LLP law. The course is intended to provide students with a foundation in the common law and state law systems that regulate business organizations as well as the important policy issues surrounding this regulation.
